RESOLUTION NO. 7142

 

A RESOLUTION OF THE CITY OF LAWRENCE, KANSAS PERTAINING TO THE CREATION OF A GOVERNING BOARD TO OVERSEE THE OPERATIONS OF eXplore LAWRENCE, THE ENTITY OVERSEEING CONVENTION AND VISITOR BUREAU ACTIVITIES FOR THE CITY OF LAWRENCE.

 

 

BE IT RESOLVED BY THE GOVERNING BODY OF THE CITY OF LAWRENCE, KANSAS, APPOINTING AND CONFIRMING THE BOARD OF EXPLORE LAWRENCE, THE GOVERNING BOARD WHICH OVERSEES THE OPERATIONS OF THE LAWRENCE CONVENTION AND VISITORS BUREAU:

 

SECTION 1:  ESTABLISHMENT AND MEMBERSHIP OF THE GOVERNING BOARD OF EXPLORE LAWRENCE; LENGTH OF TERMS

 

(a)        The eXplore Lawrence Governing Board shall have seven (7) voting members, comprising the following positions:   A representative employed by a full-service hotel within the city limits of Lawrence; a representative employed by a limited-service hotel within the city limits of Lawrence; a member of the elected body of the Lawrence City Commission; a representative from the cultural industry in Lawrence; a representative of a local university or educational institution; a representative of the sports and/or recreational industry in Lawrence; and a representative from the service/event management industry in Lawrence.   

 

For the purposes of membership, the hotelier representation will be defined as:  

 

Full-service hotels are generally mid-price, upscale or luxury hotels with a restaurant, lounge facilities and meeting space as well as minimum service levels often including bell service and room service. These hotels report food-and-beverage revenue as well as exclusive meeting space for conferences/conventions.

 

A limited-service hotel (also known as select-service or focused-service hotels), are generally rooms-only operations, (i.e., without food-and-beverage service) and may operate a business center for customers with a small meeting space.

 

(b)        In addition, the eXplore Lawrence shall have three (3) ex-officio members: the City Manager or designee from the City Manager’s Office; the Director of Downtown Lawrence, Inc. or staff designee; the Lawrence Chamber of Commerce CEO or staff designee.

 

(c)        The Executive Director of eXplore Lawrence will report to the Governing Board and will coordinate the actions of the board and provide communication to the eXplore Lawrence staff as directed.  

 

(d)        Appointed members of the Board shall serve three (3) year terms, except when appointed to fill out an unexpired term.  Members may serve for two consecutive three-year terms.  If originally appointed to an unexpired term, the member may complete that term plus two consecutive three-year terms. 

 

SECTION 2:   SAME; DUTIES.  The purpose of the Governing Board is to provide operational, personnel and financial oversight of the operations of the convention and visitors bureau for the City of Lawrence.

 

SECTION 3:   SAME; MEETINGS.  The meetings of the eXplore Lawrence Governing Board shall be governed by the Kansas Open Meetings Act. The Board shall meet as needed, but not less than on a monthly basis.

 

SECTION 4:   SAME; CHAIR AND VICE CHAIR.  The eXplore Lawrence Governing Board shall select a Chair and Vice Chair annually.

 

SECTION 5:   SAME; SECRETARY.  The eXplore Lawrence Executive Director will serve as the board secretary and shall provide for the preparation and approval of minutes of eXplore Lawrence Governing Board meetings and agenda items, and shall provide copies to the Board members as well as posting in the public domain (website).

 

SECTION 6:   SAME; TREASURER.  The eXplore Lawrence Governing Board shall select a Treasurer annually to work in conjunction with the eXplore Lawrence Executive Director to prepare monthly financial statements and ensure the annual audit for the organization is completed in a timely fashion.

 

SECTION 7:   SAME; BYLAWS.  The eXplore Lawrence Governing Board will adopt bylaws governing the operation of the Board, provided that such bylaws do not conflict with the provisions of this City ordinance or County resolution.

 

SECTION 8: If any section, clause, sentence, or phrase of this resolution is found to be unconstitutional or is otherwise held invalid by any court of competent jurisdiction, it shall not affect the validity of any remaining parts of this resolution.

 

SECTION 9:  This resolution repeals all prior agreements for the funding of CVB operations and activities.

 

SECTION 10:  This resolution shall take effect and be in full force and effect immediately following its adoption and publication as provided by law.
