TERMINATION OF BASE LEASE AGREEMENT, LEASE AGREEMENT

 AND BOND TRUST INDENTURE

            This Termination of Base Lease Agreement, Lease Agreement and Bond Trust Indenture, made and entered as of October 13, 2014, among the CITY OF LAWRENCE, KANSAS, a municipal corporation organized under the Laws of the State of Kansas (the “Issuer”), and NEUVANT HOUSE, INC., a corporation organized and existing under the laws of the State of Nebraska (the “Corporation”) and SECURITY BANK OF KANSAS CITY, a banking corporation duly organized and existing and authorized to accept and execute trusts of the character herein set out under the laws of the State of Kansas, and having its principal corporate trust office located in the City of Kansas City, Kansas, as trustee (the “Bond Trustee”);

WITNESSETH:

            The Issuer and the Corporation entered into a Base Lease Agreement dated September 1, 2013 and a Lease Agreement dated September 1, 2013, affecting real estate described as follows:

Lot One (1), Block One (1), in John August Addition, in the City of Lawrence, Douglas County, Kansas

A Memorandum of Base Lease Agreement and a Memorandum of Lease Agreement, each dated as of September 1, 2013 were entered into between the Corporation and the Issuer.

            The parties hereby terminate the Memoranda and the Bond Trust Indenture dated as of September 1, 2013 (the “Indenture”) between the Issuer and the Bond Trustee. The parties affirmatively state that the Base Lease Agreement, the Lease Agreement and the Indenture are of no further force or effect as of the date of this Termination.
