AGREEMENT

 

This Agreement (the “Agreement”) is executed on this _____day of ______________, 20____, by the City of Lawrence (“City”) and the Lawrence Farmers Market (“Farmers Market”). 

 

RECITALS

 

A.        The City is the owner of a parking lot (“Lot”) located on the east side of the 800 block of New Hampshire Street, and the west side of the 800 block of Rhode Island Street, Lawrence, KS, commonly known as Lot 8, depicted in Exhibit A to this Agreement;

 

B.        Farmers Market desires to operate a farmers market in downtown Lawrence, Kansas; and,

 

C.        The City agrees to allow Farmers Market to operate on Lot pursuant to the terms of this Agreement;

 

AGREEMENT

 

NOW, THEREFORE, in consideration of the promises and obligations contained in this Agreement, the parties hereby enter into the following agreements.

 

1.         Use of Lot. The City hereby grants the Farmers Market the right to allow its employees, representatives, vendors, and customers to use the Lot for its Tuesday and Saturday markets, provided:

 

a.         Farmers Market use of the Lot is limited to Tuesdays, 3:00 p.m. – 6:00 p.m., May 6, 2014 through October 28, 2014, and Saturdays, 5:00 a.m. – 11:00 a.m., April 12, 2014 through November 22, 2014.

 

b.         The Farmers Market use on Tuesdays is limited to 19 total parking spaces as outlined in Exhibit B to this Agreement; the Farmers Market use on Saturdays is limited to the entirety of the Lot (both east and west of the alley), as depicted in Exhibit A to this agreement.   

 

c.         Farmers Market shall remove any trash or other debris generated by the Farmers Market, its vendors, or its customers within one hour of the conclusion of each day’s use.

 

d.         Farmers Market may locate a storage trailer in the parking space marked with an “X” on Exhibit A to this Agreement, continuously from April 12, 2014 through November 22, 2014.

 

e.         Farmers Market may locate a portable toilet and handwashing station in the approximate area marked with a “Y” on Exhibit A to this Agreement, continuously from April 12, 2014 through November 22, 2014, provided that the placement of the portable toilet and handwashing station do not block access to the parking stalls during non-market hours, and provided that the portable toilet and handwashing station are maintained in good working condition. The City may require Farmers Market to move or perform maintenance on the portable toilet and/or handwashing station at any time.

 

f.          Farmers Market shall barricade all vehicular entrances to the Lot during the approved times for the Saturday markets.

 

g.         During the approved times of the Tuesday market, the Farmers Market shall barricade vehicular entrance to, but not exit from, the entrance to the eastern portion of the Lot from the alley, as well as the area to be used for the farmers market, by placing barricades at the locations marked “B” on Exhibit B to this Agreement. 

 

h.         During approved times for the Saturday and Tuesday markets, the Farmers Market shall place temporary signage, subject to approval of the property owner, at the entrance to the private parking lot south of the building located at 211 E 8th Street, indicating that farmers market customers are not to park in that lot. 

 

i.          City shall provide all barricades required by this Agreement. Farmers Market shall immediately notify the City if any of the barricades need maintenance or replacement.

 

2.         Signage. Farmers Market will be allowed to post signs at each entrance to the Lot, provided that all proper sign permits are obtained. All signage is subject to the approval of the City.  

 

3.         Indemnification. Farmers Market hereby agrees to indemnify and hold the City harmless for any costs, liability, or damages that arise from the Farmers Market or its employees’, representatives’, vendors’ or customers’, use of the Lot.

 

4.         Insurance. Farmers Market hereby agrees to obtain general liability insurance coverage with limits of at least $500,000, and to provide to City proof of said coverage upon entering into this Agreement.
