BILL OF SALE

Know all persons by these presents that the City of Lawrence, Kansas, a municipal corporation (“Lawrence”), in keeping with the terms, conditions and covenants of that certain written Agreement made and entered into by and between Lawrence and Baldwin City, Kansas, a municipal corporation (“Baldwin City”), on the ____ day of ____________, 2013, does hereby sell, transfer, set over and convey to Baldwin City the metering station building only, which is deemed personal property of Lawrence, subject to the terms, conditions and requirements of the Agreement to which this Bill of Sale is attached as Exhibit 2.

            In consideration of the delivery and receipt of said Bill of Sale the parties each acknowledge the nature, extent and sufficiency of the consideration therefor.

            IN WITNESS WHEREOF the parties with the approval of their respective governing bodies, do hereby cause this Agreement, with Exhibits “1” and “2” attached, to be executed and acknowledged on the date(s) shown, with the date of the last to sign being the effective date of the Agreement.
